Acceptance of Terms
Terms and Conditions

Invoices. WUD will bill Dairy Cash Dues Member client on a monthly basis. All other Memberships will be billed on an Annual Basis. All invoices are due within 30 days. Interest on unpaid balances shall accrue at the rate of ten percent (10%) per annum from and after the date due. The prevailing party in any litigation shall be entitled to collect its reasonable attorney’s fees and litigation costs against the losing party in the event legal action is commenced to collect amounts due.


Waiver. Client hereby knowingly and voluntarily waives any claims for incidental, consequential, or punitive damages against WUD, its agents, employees, or other representatives. Information. All information provided by Client to WUD personnel, or posted to WUD’s website, shall be true and correct, and WUD personnel shall be entitled to rely on such information in the Partnership contemplated by this Agreement.


Termination. Client will be invoiced according to Membership type as stated above under “Invoices” however, either party may terminate this Agreement at any time with or without cause upon 30 days written notice to the other party.


Jurisdiction & Venue. This Agreement was entered into in Stanislaus County, California, and shall be governed by and construed under the laws of the State of California.


Indemnity. Client agrees to and shall indemnify, defend, and hold WUD and its employees, agents, officers, and directors harmless from and against any and all claims, damages lawsuits, or penalties brought by any third parties against WUD that relates or pertains to WUD’s Partnership under this Agreement.


Binding Effect. This Agreement shall be binding on and inure to the benefit of the parties and their respective heirs, successors, and permitted assigns.


Entire Agreement. This Agreement is the entire contract between the parties with regard to the subject matter specified above. Any and all concurrent or previous contracts, whether oral or written, are merged herein and superseded hereby. This Agreement may only be modified in writing and signed by the party against whom enforcement is sought.
