Dear Western United Dairies (WUD) Members;
To better represent our California dairy families, the WUD Board and staff are proposing to modify the organizational structure at both the Board and grassroots levels. The bylaws of WUD were written in the mid-1980’s and were comprehensive of their consideration to either a growing -or in this case, shrinking dairy industry. The complement of the WUD Board was envisioned to be 20 members and has remained at that number since WUD’s establishment. This 20-member Board was proportionally representative of its 12 districts -with some regions shrinking and growing over time, yielding certain districts more, or fewer Board members. Over time, the state’s milkshed has shrunk significantly and is now isolated into distinct milk growing regions. The organization proposes to shrink the size of the Board from 20 to 10 Directors, and additionally proposes to merge the 12 Districts into 4 Regions.
These proposed Regions along with their proportionate 10 Directors would be:
North Coast (Del Norte, Humboldt, Sonoma, Marin Counties) 3 Directors
North Valley (Yuba, Sutter, Glenn, Tehama, Sacramento, San Joaquin Counties) 1 Director
Central Valley (Stanislaus, Merced, Madera, Fresno, Kings Counties) 4 Directors
South State (Tulare, Kern, San Bernardino, Imperial Counties) 2 Directors
The total number of the Board may continue to change in the future per the existing bylaws regarding consolidation/expansion. If a Region grows or shrinks, the Board complement and regional representation will be adjusted.
Additionally, the Board proposes to shrink the size of the Executive Committee from 7 members to 4. Those offices would include the President, Vice President, 2nd Vice President, and the Treasurer, eliminating the Secretary function. These changes are proposed to take place in January 2023.
The proposal also includes sunsetting the Delegate functions associated with the organization. The role of the Delegate body was extensive at one time, but over the years we have encountered difficulty in establishing quorums for all Delegate functions. Member-based subcommittees will still play a strong role in the policy direction of the WUD Board, including the PAC and Water committees.
